BYLAWS (1)
In these bylaws, unless the context otherwise requires, c) "Registered address" of a member means his address as recorded in the register of members. d) "Association" means Glen Meadows Golf Members Association. e) "Glen Meadows Golf and Country Club" a Division of Criddle Enterprises Limited, means the Corporation which owns and operates the lands and premises situate at 1050 McTavish Road, R.R. #2, Sidney, British Columbia, which consist, in part, of an eighteen-hole golf course, a clubhouse and the facilities of a golf professional. f) "golf member" means a person who has contracted with Glen Meadows Golf and Country Club to be a member of Glen Meadows Golf and Country Club with golf playing privileges, among other privilege. g) "division" means any part of the activities of the Association which the Executive Committee determines requires a Captain to manage it's affairs. h) "Captain" means any person, by whatsoever name called, elected by the members of a division to organize and manage the affairs of the division. i) "Vice-Captain" means any person, by whatsoever name called, elected by the members of a division to assist the Captain of that division and to deputize for him in his absence except as a member of the Executive Committee, unless the Executive Committee has determined that the affairs of the division are such that the presence of a Vice-Captain on the Executive Committee is required. j) "register of members" means the names and addresses provided from time to time to the Association by Glen Meadows Golf and Country Club which signifies which members of Glen Meadows Golf and Country Club are Golf Members who have currently paid their membership dues to the Association through Glen Meadows Golf and Country Club. k) "director" includes trustee, officer, member of an executive committee and a person occupying any such position by whatever name called; and who, pursuant to the provisions of the Society Act is required to act honestly and in good faith and in the best interests of the Association, and further, is required to exercise the care, diligence and skill of a reasonably prudent person in exercising his powers and performing his functions as a director. l) "members liabilities": Pursuant to the provisions of the Society Act a member of the Association is not, in his individual capacity, liable for a debt or liability of the Association. m) "directors' liability": Pursuant to the provisions of the Society Act nothing in a contract, the constitution or bylaws, or the circumstances of his appointment, relieves a director; (a) from the duty to act in accordance with the Society Act and the regulations; or (b) from a liability that by virtue of a rule of law would otherwise attach to him in respect of negligence, default, breach of duty or breach of trust of which he may be guilty in relation to the Association. (2)
The definitions in the Society Act on the date these bylaws
become effective apply to these bylaws, some, but not all of
which are, in part b) "special resolution" means, in part, a resolution passed in a general meeting by a majority of not less than 75% of the voters of those members of a society who, being entitled to do so, vote in person or, where proxies are allowed, by proxy. 3. Words importing the singular include the plural and vice versa: and words importing a male person include a female person and a corporation. |
